Item 1.01 Entry into a Material Definitive Agreement.
 
On June 13, 2012, BioZone Pharmaceuticals, Inc. (the “Company”) sold 10% promissory notes (the “Notes”) to accredited investors (the “Investors”) for an aggregate purchase price of $200,000.  The principal amount of the Notes is payable in cash on the date that is the earlier of receipt by the Company of $500,000 or more from any source (other than sales in the ordinary course of business) or three months from the issuance date (the “Maturity Date”).
 
The Notes bear interest at the rate of 10% per annum.  The Company may prepay any outstanding amounts owing under the Notes, in whole or in part, at any time prior to the Maturity Date.
 
The foregoing description of the Notes is not complete and is qualified in its entirety by reference to Exhibit 10.1 annexed hereto.
 
The Notes were issued to “accredited investors,” as such term is defined in the Securities Act of 1933, as amended (the “Securities Act”) and were offered and sold in reliance on the exemption from registration afforded by Section 4(2) and Regulation D (Rule 506) under the Securities Act of 1933 and corresponding provisions of state securities laws.
